Spencer Spirit to Acquire Hot Topic in Major Pop Culture Retail Deal

Spencer Spirit Holdings has agreed to acquire Hot Topic, bringing together six retail brands with a major presence in licensed merchandise, fandom products and collectibles. The transaction will combine Spencer’s, Spirit Halloween and Spirit Christmas with Hot Topic, BoxLunch and Her Universe. Together, the companies will operate more than 3,000 locations across North America.
For collectors and pop culture fans, the deal brings several major merchandise destinations under one corporate umbrella.
Hot Topic is known for licensed products tied to music, movies, television, anime and other areas of pop culture. BoxLunch carries licensed apparel, accessories and collectibles, while Her Universe specializes in fandom-inspired fashion.
Spencer’s also sells trend-driven merchandise and accessories, while Spirit Halloween offers costumes, décor and seasonal products connected to entertainment properties and recognizable characters.
The companies said the combined business will be better positioned to strengthen relationships with licensors and vendors. Those partnerships are important to the production and distribution of licensed collectibles and other fandom merchandise.
The larger retail network could also provide additional opportunities for exclusive products, although the announcement did not reveal any specific new collectibles, collaborations or store exclusives connected to the acquisition.
Hot Topic currently operates more than 615 stores across the United States and Canada. BoxLunch has more than 280 locations, while Spencer’s operates more than 650 stores. Spirit Halloween has more than 1,550 seasonal locations, and Spirit Christmas is expected to operate 44 stores this year.
Despite the acquisition, Hot Topic, BoxLunch and Her Universe will continue to operate independently from Spencer Spirit after the deal closes. The three brands will also retain their existing headquarters in California.
Steve Vranes will remain CEO of Hot Topic Inc. and continue overseeing the three brands and their strategic growth. Spencer Spirit CEO Steven Silverstein said the companies share a focus on products, storytelling and customer experiences, even though their brands serve different audiences.
The acquisition remains subject to customary closing conditions and regulatory approval. The companies expect the transaction to close during the third quarter of 2026.
